These Terms & Conditions (“Terms”) govern your access to and use of the WrapNJoy website, applications, and services (collectively, the “Service”). In these Terms, “WrapNJoy,” “we,” “us,” and “our” refer to WrapNJoy, an Oregon-registered entity. “You” means the individual or entity accessing or using the Service.

By creating an account, placing an order, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility; Account; Authority

Eligibility. You must be at least 18 years old (or the age of majority in your jurisdiction) and able to enter into a binding contract.

Account Security. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.

Authority. If you use the Service on behalf of an organization, you represent and warrant that you have authority to bind that entity to these Terms.

2. Scope of Service

WrapNJoy provides a convenience and coordination service related to gifting, which may include receiving items, preparing packaging, adding personalization, and arranging shipment to a designated recipient.

Unless expressly stated otherwise in writing:

• WrapNJoy is not the seller, retailer, or merchant of record of third-party products.

• WrapNJoy is not a carrier and does not control carrier performance.

• WrapNJoy does not manufacture third-party items.

3. Third-Party Products, Links, and No Affiliation

The Service may allow you to submit or reference links to third-party products or websites.

You acknowledge and agree that:

• Convenience Only. All third-party information (including pricing, availability, descriptions, images, reviews, or shipping estimates) is provided for convenience only.

• No Endorsement. WrapNJoy is not affiliated with, endorsed by, or responsible for any third-party seller, marketplace, brand, or website unless expressly stated in writing.

• No Responsibility. WrapNJoy does not control and is not responsible for third-party products, fulfillment, warranties, recalls, defects, safety issues, substitutions, counterfeit goods, pricing errors, delays, or disputes.

• Your Responsibility. Any interaction with a third party is strictly between you and that third party, and you are responsible for reviewing and complying with their terms and policies.

Proceeding with any third-party product is at your own risk. WrapNJoy disclaims all liability for matters outside the Service to the maximum extent permitted by law.

4. No Inspection of Contents; No Verification

Unless you expressly request and pay for an inspection or verification service, WrapNJoy does not open, inspect, test, authenticate, or verify the contents of third-party items received or packaged on your behalf.

Accordingly:

• WrapNJoy makes no representations or warranties regarding the accuracy, condition, authenticity, completeness, or conformity of third-party items.

• If the contents of a package are incorrect, incomplete, defective, counterfeit, or not as expected, liability rests solely with the third-party seller or source, not WrapNJoy.

5. Communications

By using the Service, you consent to receive electronic communications from us, including transactional, operational, and security-related messages. Marketing communications will be sent only where permitted by law and subject to applicable opt-out rights.

Electronic communications satisfy any legal notice requirements.

6. Your Instructions; Authorization

You may provide instructions through the Service, including item details, packaging choices, gift messages, recipient information, and shipping selections.

• Accuracy. You are responsible for the accuracy of all information you provide, including recipient addresses.

• Limited Agency. To the extent WrapNJoy purchases items or services on your behalf, you authorize WrapNJoy to act as your limited agent solely to carry out your instructions.

7. Pricing; Estimates; Adjustments

Pricing may include multiple components, some of which may be estimates until fulfillment.

• Variable Costs. Retailer pricing, taxes, carrier rates, insurance, and availability may change outside our control.

• Authorization. You authorize WrapNJoy to adjust final charges to reflect actual costs incurred.

• Material Changes. If a material increase is identified, we may seek approval, offer alternatives, or cancel and refund as appropriate.

WrapNJoy is not liable for external pricing or availability changes.

8. Payments

Payments may be processed by third-party payment processors, whose terms apply. Manual or alternative payment methods may require administrative verification before an order is considered confirmed.

9. Cancellations

Cancellation availability depends on fulfillment stage:

• Before third-party purchase or shipping label issuance, cancellation may be possible.

• After fulfillment or customization begins, cancellation may not be possible.

WrapNJoy may refuse or cancel Service for compliance, fraud prevention, or legal reasons.

10. Refund Policy

If you are dissatisfied with WrapNJoy’s Service, contact us at support@wrapnjoy.com.

• WrapNJoy Charges. We will refund WrapNJoy-controlled fees where applicable.

• Third-Party Costs. Shipping, taxes, payment processor fees, insurance, and retailer costs may be non-refundable.

• Refund Recipient. Refunds are issued only to the original payer.

Nothing in this section limits non-waivable consumer rights under applicable law.

11. Returns; Chargebacks

Returns are subject to third-party policies. Refunds tied to third-party returns are processed only after funds are received and settled.

You agree not to initiate a chargeback without first contacting support and providing a reasonable opportunity to resolve the issue. Improper chargebacks may result in account suspension and recovery of costs as permitted by law.

12. Shipping; Delivery; Risk of Loss

• No Guaranteed Delivery Dates. Delivery estimates are not guarantees.

• Carrier Performance. Carriers are independent third parties.

• Risk of Loss. Risk of loss transfers to you upon delivery as confirmed by the carrier.

• Address Accuracy. You are responsible for correct recipient address information and any resulting fees.

WrapNJoy is not liable for delays or failures caused by events beyond reasonable control.

13. Prohibited Use

You may not use the Service for illegal activity or prohibited items, including hazardous or restricted goods. We may refuse Service for compliance or safety reasons.

14. User Content

You are solely responsible for any content you submit (including gift messages or engravings) and represent that you have the rights to submit it. WrapNJoy may refuse content at its discretion.

15. Intellectual Property

The Service and all associated intellectual property are owned by WrapNJoy or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service solely for its intended purpose.

16. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

WRAPNJOY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI-assisted data extraction or parsing may be inaccurate. You are responsible for verifying critical information.

17. Limitation of Liability

To the maximum extent permitted by law:

• WrapNJoy will not be liable for indirect, incidental, consequential, special, or punitive damages.

• WrapNJoy’s total liability for any claim will not exceed the amounts you paid to WrapNJoy for the order giving rise to the claim in the three (3) months preceding the event.

18. Indemnification

You agree to indemnify and hold harmless WrapNJoy from claims arising out of your use of the Service, your content, or your violation of these Terms.

19. Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY.

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration, rather than in court, except that either party may seek relief in small claims court if eligible.

• Arbitration will be conducted on an individual basis.

• Class actions, class arbitrations, and representative actions are not permitted.

• The arbitration will be administered under the rules of a nationally recognized arbitration provider.

• You and WrapNJoy waive the right to a jury trial.

This section survives termination of these Terms.

20. Governing Law; Venue

These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law principles. Where arbitration does not apply, disputes shall be brought exclusively in state or federal courts located in Oregon.

21. Geographic Scope

The Service is offered only within the United States. We make no representations that the Service is appropriate or available outside the U.S.

22. Changes to These Terms

We may update these Terms by posting revised Terms and updating the effective date. Continued use of the Service constitutes acceptance.
